Dennis Martin has acted as General Counsel for Hackman Capital since January 2009. Dennis has acted as outside transaction counsel on a number of Hackman Capital-related transactions, commencing in early 2006. He is still a partner at Orrick Herrington & Sutcliffe LLP, splitting his time between Orrick and Hackman Capital. Dennis brings to Hackman Capital significant experience in real estate, real estate finance, distressed asset, servicing/asset management and capital markets transactions, with an emphasis on joint ventures, secured lending transactions, unsecured corporate financings for real estate companies and financing secured by fund commitments.
While at Orrick, Dennis has acted as Orrick's primary relationship partner for numerous opportunity funds, investment banks, REITS and servicers/asset managers, including Westbrook Partners, AMB Property, DLJ Real Estate Capital Partners, GMAC Commercial Mortgage Corporation (now Capmark), LNR Property Corporation, Lehman Brothers, Morgan Stanley, Deutsche Bank, O'Connor Capital Partners and Moore Strategic Value Partners. Dennis was primary outside counsel in the establishment in Japan of (i) the CMBS programs for GMACCM, Lehman Brothers, Morgan Stanley, Credit Suisse and Deutsche Bank and (ii) the servicing/asset management platforms for GMACCM and LNR Property Corporation, for whom he developed the servicing/asset management agreement templates which are still used in Japan. He has acted as counsel for investors in the formation and management of joint ventures which have acquired over 30 different distressed debt portfolios, and for lenders and borrowers in the financing of over $4 billion of nonperforming and subperforming loan portfolios. Recent engagements have focused on the workout of financings and joint ventures involving troubled real estate assets, and the acquisition of nonperforming and subperforming loans.
Dennis started his legal career in 1992 at Sheppard Mullin Richter and Hampton LLP in Los Angeles. In 1994 he moved to San Francisco, where he was an associate with Morrison and Foerster LLP. Commencing in 1997, he was based in Tokyo, Japan for seven years, during which time he moved to Orrick as a partner in September 1999. He is a former managing partner for Orrick's Tokyo office.
Dennis has been based in Los Angeles since the beginning of 2004.
Dennis has a B.A. in Economics from the University of California at Berkeley and a J.D. from Columbia University School of Law, is a Leadership Council member for the USC Lusk Center for Real Estate, and is an adjunct instructor at the USC Lusk School of Real Estate.
